The User agrees to defend, indemnify and hold IBC Financial and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees harmless from and against any and all claims or demands, damages, obligations, losses, liabilities, costs or debt, and expenses, including, but not limited to, legal fees and expenses, arising from:

b) User's violation of these Terms, including, but not limited to, User's breach of any of the representations and warranties set forth in these Terms

c) User's violation of any third-party rights, including, but not limited to, any right of privacy or intellectual property rights

d) User's violation of any statutory law, rule, or regulation

e) Any content that is submitted from User's account, including third party access with User's unique username, password or other security measure, if applicable, including, but not limited to, misleading, false, or inaccurate information

f) User's willful misconduct

g) Statutory provision by User or its affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees to the extent allowed by applicable law

12. Changes to these Terms

12.1. The Owner reserves the right to amend or otherwise modify these Terms at any time. In such cases, the Owner will appropriately inform the User of these changes.

12.2. Such changes will only affect the relationship with the User for the future.

12.3. The User's continued use of the Website and/or the Service will signify the User's acceptance of the revised Terms. If the User does not agree to the revised Terms, they must stop using the Website and Service.

12.4. The preceding versions of these Terms will be available upon request to the Owner.

12.5. If required by applicable law, the Owner will specify the date by which the modified Terms will enter into force.

13. Assignment of Contract

These Terms constitute the entire Agreement between Users and the Owner with respect to the subject matter hereof, and supersede all other communications, including but not limited to all prior agreements, between the parties with respect to such subject matter. These Terms will be enforced to the fullest extent permitted by law.

15. Governing Law and Jurisdiction

15.1. These Terms are governed by the law of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

15.2. The exclusive competence to decide on any controversy resulting from or connected to these Terms lies with the courts of the Province of Quebec.

15.3. Exception for Consumers: If the User qualifies as a Consumer and has their habitual residence in a country where the law provides for a higher consumer protection standard, such higher standards shall prevail.

16. Dispute Resolution

16.1. Amicable Dispute Resolution: If any dispute arises in connection with these Terms, the User and the Owner agree that they will first attempt to resolve it amicably by contacting each other.

16.2. Binding Arbitration: If the User and the Owner are unable to resolve a dispute through informal negotiations, all claims and disputes arising out of or relating to these Terms shall be finally and exclusively resolved by binding arbitration. The arbitration shall be conducted on a confidential basis pursuant to the Commercial Arbitration Rules of the Canadian Arbitration Association. Any decision or award as a result of any such arbitration proceeding shall be in writing and shall provide an explanation for all conclusions of law and fact and shall include the assessment of costs, expenses, and reasonable attorneys' fees.

16.3. Waiver of Class or Consolidated Actions: All claims and disputes within the scope of this arbitration agreement must be arbitrated or litigated on an individual basis and not on a class basis, and claims of more than one customer or user cannot be arbitrated or litigated jointly or consolidated with those of any other customer or user.

17. Final Provisions

17.1. These Terms, including any legal notices and disclaimers contained on this Website, constitute the entire agreement between IBC Financial and you in relation to your use of this Website, and supersede all prior agreements and understandings with respect to the same.

17.2. The Owner's failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
